Service Agreement:
SERVICE AGREEMENT
Please read this Service Agreement (Agreement) carefully.
This, along with the Guidelines for Acceptable Use
and the Privacy Statement, govern your use of our
Internet Service as well as other information, communication
and services (“Service”) provided to you
by Crown Point Network Technologies, Inc. (“Nettech”).
This Service Agreement supersedes all prior Service
Agreements with regard to their content. The current
version can also be found on Nettech’s website:

SERVICE
By completing the enrollment process to become a subscriber
of the Service or by using the Service provided by
Nettech other than to read this Agreement, you agree
to accept the terms of the Agreement (including the
Guidelines of Acceptable Use and the Privacy Statement)
as if you had signed it. Nettech may change this agreement
at any time; such changes will be effective immediately
upon transmission of notice by email, postal mail,
posting on Nettech’s website or any other means.
Each time you use the Service reaffirms your acceptance
of the current Agreement. If you do not wish to be
bound by this Agreement, you may discontinue using
the Service and immediately terminate your account
and Nettech membership as set forth below.
Nettech may discontinue or alter any service subscription
or aspect of the Service at any time, without notice,
without liability and at Nettech’s sole discretion.
OBLIGATIONS
Personal information is defined as information about
an individual. Some examples are: Name, address and
telephone number. Nettech requires personal information
from its subscribers to sign them up for, or maintain
current, Service. This information is necessary for
accurate and proper Service and account billing. Nettech
does not sell, share or otherwise disclose this data
for any purpose other than to complete a subscriber’s
request. Nettech may be required to disclose this
information to comply with a court order or law enforcement
request.
You agree to provide Nettech with accurate, current
and complete information to the extent required by
Nettech for your registration as a subscriber of the
Service or at any time thereafter; and to maintain
and to update this information as required to keep
it accurate, current and complete. You agree in your
enrollment and use of the Service not to impersonate
any other person or entity, and you agree that you
are either 13 years of age or older, or have obtained
consent to use the Service from your parent or guardian.
You are responsible and liable for any activity by
any person who uses your account with the Service.
Other users of your account will be bound by this
Agreement as if they were you. You are responsible
for maintaining the confidentiality of your password
and for any liability resulting from disclosure of
your password. You agree that, upon becoming aware
that your password or account is (or possibly is)
being used without authorization, you will immediately
change your password and notify Nettech by sending
an e-mail to billing@cptelco.net AND calling (518)
597-3300 and speaking with a customer service representative.
You are responsible for obtaining and maintaining
any telephone services or equipment necessary to access
and use the Service and for any telephone charges
associated with connecting to and using the Service
including, without limitation, any telephone charges
associated with the transmission to or from your computer
of any information sent by or on behalf of Nettech,
including without limitation information collected
and used to provide the Service to you as a subscriber.
You are solely responsible for all telephone charges
incurred by your use of Nettech’s Services and
Nettech will not reimburse you for any such charges.
You acknowledge that you and members of your household
use the Service for personal use or personal use by
organizations or other groups of users, but not for
corporate or excessive commercial use.
You agree that Nettech may establish general practices
and limits concerning use of the Service. These may
include, among others, the maximum number of days
that unread e-mail messages will be retained by the
Service, the maximum number of e-mail messages that
may be sent from or received by an account on the
Service, the maximum size of any e-mail message that
may be sent from or received by an account on the
Service, the maximum disk space that will be allocated
on Nettech’s servers on a Subscriber’s
behalf and the maximum number of times (and the maximum
duration for which) a subscriber may access the Service
in a given period of time. Nettech owns the Nettech
e-mail service and network including, without limitation,
e-mail addresses. E-mail in inactive or terminated
accounts may be deleted in accordance with Nettech’s
policies. Nettech uses a variety of techniques to
eliminate e-mail or attachments that Nettech believes
are unsolicited, inappropriate or harmful. In doing
so, Nettech may block or delete e-mail or attachments
sent by or to you, even though such e-mail or attachments
may not be unsolicited, inappropriate or harmful.
You agree that Nettech is not responsible for any
e-mail or attachments that are blocked or deleted
for any reason and that you have no right and Nettech
has no obligation to retrieve or access any such deleted
or blocked e-mail or attachments. You acknowledge
that Nettech may implement prioritization practices
in connection with accessing the Service and that
your ability to establish and maintain a connection
to the Service may be limited in by such practices
or otherwise. You acknowledge that any limits Nettech
establishes may differ for different portions of the
Service and in particular may be set at different
levels for subscribers based on factors determined
in Nettech’s sole discretion which may or may
not include, among others, a subscriber’s chosen
service level, specific usage patterns, geographic
location, the particular telecommunications carrier
through which a connection to the Service is attempted
or established, and/or a subscriber’s participation
in certain programs designed to generate revenues
for Nettech. You acknowledge that Nettech may restrict
or limit the use of third party software or services
in connection with the Service. You also acknowledge
that Nettech reserves the right to change these general
practices and limits at any time, in its sole discretion,
with or without notice.
CONTENT
You acknowledge that information, communications,
photographs, video, graphics, software, music, sounds
and other materials may be accessible to you through
your use of the Service. You acknowledge that, as
a matter of policy, Nettech does not pre-screen such
materials, but that Nettech has the right (but not
the obligation) to remove from its computer servers,
materials (including, without limitation, materials
created, posted, uploaded or transmitted by you) that
Nettech in its sole discretion determines to be in
violation of the Guidelines. You further acknowledge,
however, that Nettech does not have the capability
to monitor, review, restrict, edit or remove materials
made available by third parties on the internet, and
you agree that you must evaluate, and bear all risks
associated with, the use of any materials, including
any reliance on the accuracy, completeness, or usefulness
of such materials. The fact that Nettech provides
a link to a particular web page is not an indication
that we endorse that site’s policies or the
content or products available from that particular
website.
You acknowledge that materials available through
the Service may be protected by copyright, trademarks,
and other intellectual property rights. You agree
that your use of such materials is governed by all
applicable laws and regulations, and by any further
restrictions placed on such materials by their owners
and licensors.
You acknowledge that the Service may provide certain
public areas (e.g. message boards, newsgroups, forums
and public mailing lists), and that Nettech is a distributor
(and not a publisher) of information disseminated
by persons using the Service. By posting, uploading
or transmitting material to any such area, you are
requesting Nettech and/or its partners to make such
materials available to others, and you are acknowledging
that placing such material in a public area will result
in copies of such material being transmitted by and
to others. By posting, uploading or transmitting material
to any public area, you (1) grant to Nettech and/or
its partners a worldwide, royalty-free, perpetual,
irrevocable, non-exclusive license (including the
waiver of any moral rights) to use, reproduce, modify,
adapt, publish, distribute, display and create derivative
works from such material (in whole or in part) and
to incorporate it into other works in any form, media
or technology (whether now known or later developed)
and (2) warrant that the owner of any rights in the
material, including intellectual property and moral
rights, has waived such rights and has given you the
right to grant the license described above.
FEES
As a subscriber of the Service you are solely responsible
for any charges to your account and any activities
conducted through your account. By using a credit
card or other payment method to pay for any billable
portions of the Service, you expressly authorize Nettech
or its agents to charge all fees and other charges
incurred in connection with your Service to the credit
card or other payment method you have designated and
such authorization will remain valid unless revoked
by you pursuant to Nettech’s terms and procedures
for cancellation of service. If you use a credit card
and Nettech does not receive payment from the card
issuer or its agents, you agree to pay all amounts
due upon demand by Nettech. Fees are non-refundable,
except as otherwise provided in this Agreement.
Nettech reserves the right to accept other forms
of payment or to modify the forms of payment it will
accept. If Nettech elects to authorize alternative
or additional methods of payment, your designation
of such a method of payment will be deemed to be an
authorization to Nettech to bill you, in a manner
appropriate to your designated payment method, for
all fees and other charges incurred in connection
with your Service. Nettech reserves the right to charge
a $25.00 fee for all returned payments.
You agree that payment is due whether you use the
Service or not, unless arrangements have been made
to cancel or suspend the Service. Without such notification
your account is automatically billed and charged at
the current rate for your subscription. Credit card
accounts and electronic check accounts are billed
automatically. All billing is done monthly on the
25th of the month (or on the Friday immediately prior
or Monday immediately following the 25th of the month,
if that date falls on either a Saturday or Sunday).
You must provide payment for the Service in advance
of noon on the 25th of the month (or on the Friday
immediately prior or Monday immediately following
the 25th of the month, if that date falls on either
a Saturday or Sunday). If you do not make payment
by this date and time, Nettech may, at its sole discretion
and without notice to you, apply late charges to your
account or suspend or terminate your Service. In the
event that your service is suspended or terminated
for non-payment a $35.00 reconnect fee will be applied
to your Service. Service will be restored upon receipt
of the reconnect fee and any past due amounts. Any
account with a past due balance of 45 days or more
is subject to automatic suspension. Suspended accounts
will continue to be billed according to the normal
billing procedures and subject to all stipulations
and collections listed above including a $25.00 collection
fee. All charges are deemed correct unless disputed
in writing within 30 days of the invoice date or the
credit card charge date.
Your subscription to any billable portion of the
Service will continue and renew automatically unless
terminated by Nettech or until you notify Nettech
of your decision to terminate your subscription to
a portion of the Service. Nettech reserves the right
at any time to change its fees and charges for use
of portions of the Service, institute new or additional
fees and to change its policies, methods and procedures
with respect to pricing, billing, cancellations, and
surcharges. Although Nettech expects to provide e-mail
or other notice to you prior to increasing the price
you pay for the Service, Nettech shall not be required
to do so before making any of the changes described.
You may obtain current pricing information for different
service levels, as well as information about policies,
methods and procedures with respect to pricing, billing,
cancellation and surcharges (1) by call Nettech at
(518) 597-3300 and speaking with a customer service
representative, (2) through Nettech’s website:
http://www.cptelco.net, (3) by sending an email to
billing@cptelco.net. Nettech may modify the means
of accessing rates and billing information in its
sole discretion.
In addition to fees for your subscription to any
billable portion of the Service, you agree to pay
all sales, use, value-added, personal property or
other governmental taxes or levies imposed on fees
for the Service, or goods or services that you purchase
through the Service.
WARRANTIES
You agree that use of the Service is at your own risk.
You acknowledge that the Service may provide access
to the internet, but that the internet is not owned,
operated or managed by Nettech.
With respect to information, goods and services provided
or accessed on or through the Service or otherwise
available on the internet, Nettech (1) has no responsibility
or obligation with respect to (and does not endorse)
any information, good or service, (2) makes no warranties
whatsoever (express or implied) with regard to any
information, good or service (including, without limitation,
warranties of accuracy, completeness, usefulness,
merchantability, safety or fitness for a particular
purpose), (3) will not be a party to a transaction
between you and any other user of the service and
(4) will not be liable, under any circumstances, for
any loss, cost or damage arising directly or indirectly
from any act or omission of any person or from any
information, good or service; except to the extent
the foregoing may not be disclaimed under law. Nettech
does not assume liability to subscribers or any other
users or to members of user’s household for
any failure to enforce the Guidelines.
Nettech and its partners do not warrant that the
service will be uninterrupted or error free nor make
any warranty as to the results obtained from the use
of the Service. Nettech does not guarantee connectivity
at any time, for any length of time or at any speed.
The Service is provided on an ‘as-is’,
‘as available’ basis without any warranties
whatsoever (either express or implied), including,
without limitation, warranties or conditions of title
or implied warranties or conditions of merchantability
or fitness for a particular purpose. Nettech does
not warrant that Nettech Services are compatible with
any third party service or software, even if such
third party claims, represents or warrants that such
service or software is compatible with any internet
service or Nettech Services in particular. No oral
advice or written (including electronic) information
provided by Nettech, its employees, affiliates, agents,
representatives, licensors or authorized users will
create a warranty, nor should you rely on any such
advice or information.
Under no circumstances (including negligence and
fundamental breach) will Nettech or anyone else involved
in providing the Service be liable for any direct,
indirect, incidental, special or consequential damages
or losses from or through the use of or inability
to use the Service or that result from mistakes, omissions,
interruptions, deletion of files or e-mail, defects,
viruses, delays in operation or transmission or any
failure of performance, even if advised of the possibility
thereof. Nettech’s entire liability and your
exclusive remedy with respect to the Service will
be a bill credit or the total amount of Service fees
paid by you during the disputed period, if any. The
terms of this section will survive any termination
of this agreement. In jurisdictions which restrict
limitation of liability provisions, Nettech’s
liability will be limited to the greatest extent permitted
by law. This limitation will apply regardless of the
failure of the essential purpose of any limited remedy.
EQUIPMENT LIMITED WARRANTIES
Nettech supplies new customers with equipment manufactured
by a third party. Nettech warrants that the equipment
supplied by Nettech to you will be free from defects
in materials and workmanship. This equipment, if found
to be defective within its materials or workmanship
will be replaced, free of charge, by Nettech within
30 days of its release to the customer.
This limited warranty does not cover damage or affected
operation of covered equipment resulting from external
causes, including accident, acts of God, abuse, vandalism,
misuse, problems with electrical power, servicing
not authorized by Nettech, unauthorized disassembly
or opening of components, usage not in accordance
with product instructions, and problems caused by
use of parts and components not supplied by Nettech.
This limited warranty does not cover any items that
are in one or more of the following categories: software,
external devices, accessories or parts added to a
Nettech Service after the Service is installed by
Nettech or accessories or parts that are not installed
at the factory.
During the limited warranty period, Nettech will
repair or replace covered products that are returned
to the Nettech business office. To request limited
warranty service, you must contact a Nettech customer
service representative within the limited warranty
period. A customer service representative can be reached
Monday through Friday between the hours of 9am and
4:30 pm at 518 597 3300. Or a customer may leave a
message on the answering system after hours.
THIS WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS, AND
YOU MAY ALSO HAVE OTHER RIGHTS THAT VARY FROM STATE
TO STATE. NETTECH’S RESPONSIBILITY FOR MALFUNCTIONS
AND DEFECTS IN HARDWARE IS LIMITED TO REPAIR AND REPLACEMENT
AS SET FORTH IN THIS LIMITED WARRANTY STATEMENT. ALL
EXPRESS AND IMPLIED WARRANTIES FOR THE PRODUCT, INCLUDING
BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF AND CONDITIONS
OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE,
ARE LIMITED IN DURATION TO THE LIMITED WARRANTY PERIOD
SET FORTH ABOVE AND NO WARRANTIES, WHETHER EXPRESS
OR IMPLIED, WILL APPLY AFTER SUCH PERIOD. SOME STATES
DO NOT ALLOW LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY
LASTS, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU.
NETTECH DOES NOT ACCEPT LIABILITY BEYOND THE REMEDIES
SET FORTH IN THIS LIMITED WARRANTY STATEMENT OR ANY
LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES,
INCLUDING WITHOUT LIMITATION ANY LIABILITY FOR PRODUCTS
NOT BEING AVAILABLE FOR USE OR FOR LOST DATA OR SOFTWARE.
SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION
OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE
EXCLUSION OR LIMITATION MAY NOT APPLY TO YOU.
INDEMNIFICATION
You agree to indemnify and hold harmless Nettech and
its affiliates and their respective officers, directors,
employees and agents against any liability, damages
or other expenses (including attorney’s fees
and costs) arising from your use of the Service (including,
without limitation, your dissemination of any information
on the Service).
TERMINATION
Nettech may terminate your access to the Service and
your account at any time, for cause or for no cause,
with or without written (including electronic) notice.
Upon termination, you will have no right to continue
to use the Service or access any stored content on
the Service (and any such content will be forfeited).
You acknowledge that if an account on the Service
is terminated (or if you delete your account from
Nettech’s central computers), any unread e-mail
sent prior to termination (or deletion of your account)
may be deleted from the Service.
You may cancel billing for your Service at any time
by calling Nettech at 518 597 3300 and speaking with
a customer service representative and providing a
valid User ID and Password for the account you wish
to terminate. You agree that regardless of a cancellation
of Service, you will remain liable for any fees to
which you have committed at the time of subscription.
All cancellations will be effective within 24 hours
of your request. You will be liable for the cost and
fees for all Service up to the cancellation date.
If you are dissatisfied with this Agreement or any
terms, policies or practices of Nettech in operating
the Service, any content available through Nettech’s
Service, or any change to the foregoing, your sole
recourse is to cancel your Service. Deleting you account
from Nettech’s central computers will not cancel
billing for your Service. You must call and speak
with a customer service representative.
MISCELLANEOUS
This Agreement and its enforcement will be governed
by, and construed in accordance with, the laws of
the State of New York, without regard to conflicts-of-law
principles. You consent to the exclusive jurisdiction
of the state and federal courts situated in the State
of New York in connection with any action arising
under this Agreement or relating to the Service, and
to having any judgment or order from such jurisdiction
recognized in any other court, tribunal or other governmental
body in order to have the same enforced against you.
Any cause of action brought by or on behalf of you
with respect to this Agreement, or the Service must
be commenced within one year after the claim or cause
of action arose.
The failure of either you or Nettech to insist upon
or enforce strict performance of any provision of
the Agreement will not be construed as a waiver of
any provision or right. Neither the course of the
conduct between you and Nettech nor trade practice
will act to modify any provision of the Agreement.
If any provision of this Agreement is held to be
unenforceable for any reason, that provision will
be reformed only to the extent necessary to affect
the original intentions of the parties, and the remainder
of this Agreement will remain in full force and effect.
GUIDELINES FOR ACCEPTABLE USE
Please read these Guidelines for Acceptable Use carefully.
These terms, along with the Service Agreement and
Privacy Statement govern your use of Crown Point Network
Technologies, Inc. (‘Nettech’) Internet
Services (‘Services’). These Acceptable
Use Policy, Service Agreement and Privacy Policy statements
supersede all prior communications and agreements
with regard to their subject matter; the current version
of each may be found on Nettech’s website at
www.cptelco.net.
Failure to comply with these or any other guidelines
made available to you by Nettech, or interfering with
any other person’s use and enjoyment of Nettech’s
Service or any other online service, may result in
termination of your account.

UNSOLICITED COMMERCIAL
E-MAIL
Nettech accounts may not be used to send unsolicited
advertisements for goods or services of any kind,
free or for profit. Furthermore, Nettech accounts
may not be used as a dropbox or repository for responses
to an unsolicited advertisement including, but not
limited to, inquiries, complaints, unsubscribe replies
or bounced messages. Nettech may terminate the offending
account or seek to obtain legal remedies against the
responsible subscriber, up to and including other
damages or an injunction.
MASS MAILINGS
Nettech accounts may not be used to disseminate any
email message in a broad-based mailing without Nettech’s
prior consent. Whether a given mailing constitutes
a ‘mass mailing’ is determined by Nettech,
in its sole discretion, based on criteria which may
include the size of the message being sent and the
number of recipients. Any message sent to more than
50 e-mail addresses simultaneously will typically
be considered a mass mailing, and will not be permitted.
Also subject to the definition and criteria for mass
mailing are chain letters and pyramid schemes. Pyramid
schemes are illegal operations in which an e-mail
recipient is encouraged to send money to a list of
several people, replace one name on the list with
his/her own and forward the e-mail in bulk to others.
THREATS
You may not use Nettech’s Service to transmit
any harmful, threatening, abusive, harassing, defamatory,
hateful or otherwise offensive material. For everybody’s
safety and comfort, we are obligated to take threats
seriously. If you make a threat, your account may
be terminated even if you didn’t intend on following
through with the stated threat.
MAIL BOMBS
You may not use Nettech’s Service to send mail
bombs; this act is strictly prohibited. Mail bombing
is defined as sending numerous and/or unusually large
files or messages to one or more recipients with malicious
intent.
HARASSMENT
Any form of harassment using Nettech’s Service
is strictly prohibited. This includes, but is not
limited to, e-mail, chat rooms, instant messaging
or video. Harassment is defined as unsolicited messages
that interfere with other’s enjoyment of Nettech’s
Service (or the internet in general). A message does
not need to be overtly threatening or contain obscene
material to qualify as harassing. Unlike threatening
messages, harassing mail can sometimes be the unintended
result of mail repeatedly sent to an incorrect address.
Nettech suggests the following in an effort to help
you avoid sending unintentional harassing emails:
(1) Know all the people to whom your message is addressed
before sending it. (2) Check you address book regularly
for accuracy. (3) Do not select ‘Reply to All’,
individually select from your address book instead.
(3) Refrain from sending e-mail to anyone who has
indicated that they do not wish to receive messages
from you.
RESALE
You may not resell Nettech’s Service or any
part of Nettech’s Service.
IMPERSONATION
You may not use the name and address of someone other
than yourself to either obtain or use Nettech’s
Service, or to send e-mail or post articles to newsgroups,
mailing lists or other forums using a name and address
of someone other than yourself. Knowingly attempting
to impersonate any person, using forged headers or
other forged identifying or transmission paths is
prohibited and cause for immediate termination; As
is knowingly permitting another person to falsely
identify your account as the origin of such transmission.
PASSWORD SOLICITATION
Use of the Service to compromise the security or damage
the resources of any other Internet user or site is
strictly prohibited. Use or distribution of tools
designed for compromising security is prohibited.
The Service may not be used to transmit or receive
replies to password solicitations.
VIRUSES
The Service may not be used to transmit or post any
material that contains software viruses or any other
computer code designed to interrupt, destroy or limit
the functionality of any computer software, hardware
or telecommunications equipment.
CONNECTION
You agree that your account may not be used to maintain
persistent and continuous connection to the Internet,
and you may not engage in any practice (such as automated
and/or persistent checking of the host server) or
use any software or device (such as an auto-dialing
device) in an effort to maintain a persistent and
continuous connection except as Nettech may deem appropriate
for certain levels of service.
You agree that Nettech may terminate your connection
after a period of inactivity, if necessary, for appropriate
allocation of resources among Nettech subscribers
(as determined at the sole discretion of Nettech)
or to restore or maintain general availability of
access to the Service.
INFRINGEMENT
You agree to post, upload or transmit on or through
the Service only material that is not subject to any
third party rights or material for which you have
obtained from the owner of the rights in such material
the express authorization to distribute the material
on or through the Service. Any violation may result
in civil or criminal liability.
If you believe that a copyright infringement has
occurred please contact customer service either by
email at billing@cptelco.net or by telephone (518)
597-3300. You will be asked for the following as documentation
for legal action: (1) a physical or electronic signature
of a person authorized to act on behalf of the copyright
owner. (2) a description of the copyrighted work and
its location on Nettech’s Service. (3) a statement,
made by you under penalty of perjury, that includes
the following information: your name, address, telephone
number, e-mail address and any other contact or information,
a summary of your claim e.g. why you feel copyright
infringement is occurring.
NEWSGROUP MAILING LIST
CpTelCo.net Policies on Posting to Newsgroups and
Mailing Lists
This document contains two parts: overall policies
for all newsgroups and mailing lists, some additional
guidelines for all newsgroups and mailing lists.
All policies are in full force and effect.
The posting of any advertisement or other commercial
solicitation for any news group or mailing list is
strictly prohibited. CpTelCo.net reserves the right
to determine whether a post constitutes an advertisement
or commercial solicitation.
Posting a single article or substantially similar
articles to an excessive number of newsgroups or mailing
lists, or continued posting of articles that off-topic
(e.g., off-topic according to the news group or mailing
charter or if the article provokes complaints from
regular readers of the news group or mailing lists
for being off-topic)are strictly prohibited.
Posting copyrighted material or software to any news
group or mailing list without the explicit approval
of the copyright holder is a violation of federal
law and international treaties and is strictly prohibited.
Posting private e-mail to any news group or mailing
lists without the explicit approval of the sender
is strictly prohibited.
Impersonating another user or otherwise falsifying
one’s user name in e-mail or any post to any
news group or mailing list is strictly prohibited.
We reserve the right to take whatever actions we
deem appropriate in enforcing these policies, including
the one below. We also reserve the right to change
these policies without prior notice at anytime.
The actions we take may include account suspension
or termination. We do not issue any credits for accounts
cancelled due to policy violations.
Posts to a news group should be relevant to that
news group. We advise you to read it for a few days
and become familiar with its language, tone, style
and expectations. Realize that posts using fake or
incomplete names are perceived as less legitimate
